Job Description

  • Spearhead governance activities across the organisation and its various business units, ensuring alignment with best practices and regulatory requirements. Act as a functional leader for strong governance principles.
  • Serve as a key advisor and support to the board and its committees, including agenda setting, minute taking, and ensuring compliance with all relevant regulations. Manage board evaluations and induction programs.
  • Design, implement, and oversee corporate governance frameworks, policies, and procedures, ensuring effective decision-making processes and risk mitigation. Manage the organisation-wide policy and procedure management system.
  • Cultivate and manage relationships with key stakeholders, including regulatory bodies, external auditors, and legal counsel. Represent the organisation in relevant industry forums.
  • Establish and maintain governance structures for all subsidiaries, coordinating with business unit governance leads to ensure effective implementation and compliance.

The Successful Applicant

  • Bachelor's degree in Law (LLB) or equivalent is essential. A Master's degree in Law or a related field is preferred. Corporate Governance certifications are preferred.
  • A minimum of 10 years of experience in legal, governance, and compliance or a similar role is required. 12+ years of experience is preferred.
  • Deep understanding of corporate governance principles, best practices, and regulatory requirement. Experience with board and committee operations is crucial.
  • Demonstrated leadership skills, with the ability to influence and collaborate effectively with diverse stakeholders. Excellent communication (written and verbal) and presentation skills.
  • Ability to think strategically, analyse complex issues, and develop practical solutions to governance challenges. A proactive and results-oriented approach.
